Terms of Service

These terms govern the licensing of the Basaran AI desktop software by Basaran Inc, a corporation registered in the State of Florida, United States, trading as Basaran AI ("we", "us"), to a business client ("you", "the client"). By paying an invoice or installing the software you agree to them.
1. What we provide
Basaran AI is a desktop application for macOS. Under an active subscription we provide:
- a licence to install and use the Basaran AI application on the agreed number of the client's computers;
- configuration and onboarding of that installation for the client's environment, covered by the one-time setup fee;
- software updates issued during the subscription period; and
- support for the duration of the subscription, as described in section 8.
The specific scope — number of machines, users and integrations — is set out in the written proposal accepted by the client. Basaran AI is sold to businesses and professional practices. It is not sold to consumers.
2. Licence and restrictions
We grant the client a non-exclusive, non-transferable, revocable licence to use the software for its own internal business purposes for as long as the subscription is active and paid. The client may not sublicense, resell, rent, redistribute or share the software or its licence keys with any third party, and may not reverse engineer the software except to the extent that restriction is prohibited by law.
Licences are issued per client and are activated on the machines agreed in the proposal. Installing the software on more machines than the subscription covers requires an updated subscription.
3. The client's responsibilities
The software runs on computers owned and controlled by the client. The client is responsible for those computers, for its own network and security, for the accounts and API keys it connects to the software, and for deciding what the assistant is permitted to access.
The client is responsible for reviewing the output of an AI assistant before relying on it. The software can act on the client's systems within the boundaries the client configures; the client is responsible for setting those boundaries appropriately.
4. Third-party AI providers
Basaran AI connects to an AI provider chosen and paid for by the client, such as OpenAI or Anthropic, or to a local model running on the client's own hardware. Where an external provider is used, that use is governed by the provider's own terms and pricing, under the client's own account. We are not responsible for the availability, output, pricing or terms of a third-party provider.
5. Fees, invoicing and taxes
All fees are stated and charged in US dollars. An engagement consists of a one-time setup fee and a recurring monthly subscription fee, both set out in the accepted proposal.
Subscriptions are invoiced monthly in advance. Invoices are payable on receipt and may be paid by credit or debit card, Apple Pay, Google Pay, ACH bank transfer or wire transfer. Card and bank payments are processed by Stripe; we do not store card numbers. Charges appear on statements as BASARAN AI.
If an invoice remains unpaid, the licence enters a grace period during which the software continues to work and we will contact the client. If it remains unpaid after that grace period, the licence stops activating and the software will not run until the account is brought current. The client is responsible for any sales, use or similar taxes that apply to the engagement, other than taxes on our income.
6. Term, renewal and cancellation
Subscriptions run month to month and renew automatically at the start of each monthly period until cancelled. There is no minimum term and no long-term contract.
Either party may cancel at any time by written notice to support@basaran.ai. Cancellation takes effect at the end of the monthly period already paid for; the software continues to work until then and is not billed again afterwards. Refunds are governed by our refund and cancellation policy, which forms part of these terms.
We may suspend or terminate a licence for non-payment, or for use of the software that breaches section 2 or is unlawful.
7. Intellectual property
The software, its updates and its documentation remain the property of Basaran Inc and its licensors. Nothing in these terms transfers ownership of the software to the client. The client's own data, files and business content remain the property of the client; we claim no rights in them.
8. Support
Support is provided by email at support@basaran.ai and, on Team and Enterprise subscriptions, by telephone at (954) 802-0707. Support hours are Monday to Friday, 9:00–17:00 Eastern Time, excluding United States public holidays. We aim to respond within one business day.
9. Warranties and disclaimer
We warrant that we will provide the software and the configuration work described in the accepted proposal with reasonable skill and care. Beyond that warranty, and to the fullest extent permitted by law, the software is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that the output of an AI model will be accurate, complete or suitable for a particular purpose.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the engagement is limited to the amount the client paid to us under the subscription in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.
11. Confidentiality
Each party will keep confidential the non-public information it receives from the other in the course of the engagement, and will use it only for the purposes of the engagement.
12. Changes to these terms
We may update these terms. If a change materially affects an active subscription we will give the client notice by email at least thirty days before it takes effect, and the client may cancel before it does. The version published on this page is the version in force.
13. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The state and federal courts located in Broward County, Florida have exclusive jurisdiction over any dispute arising out of them.
